• "User," "you," or "your" refers to the individual or legal entity accessing or using the Services.
• "Content" refers to any data, text, information, or materials uploaded, submitted, or transmitted through the Services.
• "Andy" or "AI Agent" refers to the AI-powered virtual marketing consultant provided by MeetAndy.
• "Lead" refers to a sales prospect or potential customer identified through the Services.
• "Conversion" refers to a measurable action taken by a Lead, such as scheduling a meeting, making a purchase, or signing a contract.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. By using the Services, you represent and warrant that:

• You are of legal age to form a binding contract.
• You have the authority to bind your organization (if applicable).
• Your use of the Services complies with all applicable laws and regulations.

3. Account Registration

To access certain features of the Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and update your account information to keep it accurate and current.
• Keep your account credentials secure and confidential.
• Notify MeetAndy immediately of any unauthorized access or security breach.
• Accept responsibility for all activities conducted under your account.

MeetAndy reserves the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. Commission Payment Terms

MeetAndy operates on a performance-based pricing model. You agree to pay commissions based on successful conversions generated through the Services.

4.1 Commission Structure

• Lead Conversion Commission: A percentage of revenue or a flat fee per successful conversion, as specified in your pricing plan.
• Tiered Pricing: Commission rates may vary based on the number of conversions or total revenue generated.
• Custom Pricing: Enterprise customers may negotiate custom commission structures.

4.2 Payment Terms

• Billing Cycle: Commissions are billed monthly in arrears (after conversions occur).
• Payment Due Date: Payment is due within 15 days of invoice issuance.
• Payment Methods: We accept credit cards, ACH transfers, and wire transfers.
• Late Payments: Late payments may incur a fee of 1.5% per month or the maximum rate permitted by law.

4.3 Conversion Tracking and Verification

• You are responsible for accurately tracking and reporting conversions generated through MeetAndy.
• MeetAndy may use analytics tools, CRM integrations, or third-party tracking to verify conversions.
• You must notify MeetAndy of any discrepancies in conversion tracking within 30 days of invoice receipt.
• MeetAndy reserves the right to audit conversion data to ensure accuracy.

4.4 Refunds and Disputes

• No Refunds for Conversions: Commissions paid for verified conversions are non-refundable.
• Disputed Conversions: If you dispute a conversion, you must provide evidence within 30 days. MeetAndy will investigate and issue a credit if warranted.
• Fraudulent Activity: If fraudulent conversions are detected, MeetAndy reserves the right to withhold payment and terminate your account.

4.5 Suspension for Non-Payment

If payment is not received within 30 days of the due date:

• Your account may be suspended, and access to the Services may be restricted.
• MeetAndy may pursue collection actions, and you will be responsible for all collection costs.
• Services will be reinstated upon full payment of outstanding balances and any applicable fees.

5. Acceptable Use

You agree to use the Services in compliance with our Acceptable Use Policy. Prohibited activities include, but are not limited to:

• Sending unsolicited spam or bulk emails.
• Using the Services for illegal, fraudulent, or harmful purposes.
• Violating third-party rights, including intellectual property, privacy, or data protection laws.
• Attempting to reverse engineer, decompile, or hack the Services.
• Interfering with the operation or security of the Services.

MeetAndy reserves the right to suspend or terminate accounts that violate this policy.

6. Data and Privacy

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect your data. By using the Services, you consent to our data practices as outlined in the Privacy Policy.

You retain ownership of all Content you upload to the Services. However, you grant MeetAndy a non-exclusive, worldwide, royalty-free license to use, process, and analyze your Content to provide and improve the Services.

All intellectual property rights in the Services, including software, algorithms, designs, trademarks, and documentation, are owned by MeetAndy or its licensors. You may not:

• Reverse engineer, decompile, or attempt to extract source code from the Services.

8. AI-Generated Content

MeetAndy uses artificial intelligence to generate email content, marketing strategies, and other materials. While we strive for accuracy, AI-generated content may contain errors or inaccuracies. You are responsible for:

• Reviewing and approving all AI-generated content before use.
• Ensuring that AI-generated content complies with applicable laws and regulations.
• Verifying the accuracy and appropriateness of AI-generated content for your specific use case.

MeetAndy is not liable for any damages resulting from the use of AI-generated content.

9. Third-Party Integrations

The Services may integrate with third-party platforms, including email providers, CRMs, and analytics tools. You are responsible for:

• Complying with the terms of service and privacy policies of third-party platforms.
• Obtaining necessary permissions and consents for data sharing with third-party services.
• Ensuring the security and integrity of your third-party accounts and API keys.

MeetAndy is not responsible for the actions, performance, or security of third-party services.

10. Warranties and Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement.
• Warranties that the Services will be uninterrupted, error-free, or secure.
• Warranties regarding the accuracy, reliability, or quality of AI-generated content.

MeetAndy does not guarantee specific results, conversions, or revenue from using the Services.

11. Limitation of Liability

To the maximum extent permitted by law, MeetAndy and its affiliates, officers, directors, employees, and agents shall not be liable for:

• Indirect, incidental, consequential, special, or punitive damages.
• Loss of profits, revenue, data, or business opportunities.
• Damages resulting from unauthorized access, data breaches, or security incidents.
• Damages arising from third-party services, integrations, or content.

MeetAndy's total liability for any claim arising from these Terms or the Services shall not exceed the total amount paid by you to MeetAndy in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless MeetAndy and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:

13. Termination
